Laat u dan goed adviseren over de plichten ten opzichte van de ondernemingsraad van uw onderneming. Zo kunt u een potentiële belemmering van het verkoopproces voorkomen. In een recente uitspraak van het Gerechtshof Amsterdam oordeelde de Ondernemingskamer dat de verkopende rechtspersoon en haar aandeelhouders te kort zijn geschoten in hun zorgplicht jegens de ondernemingsraad van de verkochte vennootschap,
nu zij niet tijdig en bovendien ontoereikende informatie aan de ondernemingsraad hebben verstrekt, zij hebben nagelaten de ondernemingsraad te betrekken bij het vragen van advies voor het verstrekken van opdrachten aan deskundigen en zij voorafgaand aan de adviesaanvraag geen tijdig overleg met de ondernemingsraad hebben gevoerd. Zij zijn derhalve niet in redelijkheid tot het besluit gekomen om de vennootschap te verkopen. Het besluit moet worden ingetrokken en de gevolgen daarvan moeten ongedaan gemaakt worden. Dit is een onwenselijke en onnodige situatie die voorkomen had kunnen worden.
