Insolventie betekent dat er sprake is van financieel onvermogen van een bedrijf of particulier. In dat geval gaat het insolventierecht een rol spelen. Er kunnen verschillende situaties zijn waarin een onderneming te maken krijgt met het insolventierecht. Het zo zijn dat een klant, relatie of debiteur failliet gaat. In dat geval wordt de onderneming geconfronteerd met schulden waarbij debiteuren moeilijkheden hebben die te betalen.

De onderneming kan zelf echter ook insolvent zijn, waardoor schulden niet meer afbetaald kunnen worden. De belangrijkste wet met betrekking tot het insolventierecht is de Faillissementswet. In deze wet zijn onder andere faillissement en surseance van betaling geregeld. Ook vloeien er verschillende regels voort uit insolventie rechtspraak.

Op grond van de Faillissementswet wordt een schuldenaar, die in de toestand verkeert dat hij is opgehouden te betalen, bij rechterlijk vonnis in staat van faillissement verklaard. Het doel van een faillissement is om het vermogen van de schuldenaar onder de gezamenlijke schuldeisers te verdelen. Hierbij kan de schuldenaar een privépersoon zijn, zoals een natuurlijke persoon, eenmanszaak of vennootschap onder firma, maar ook een rechtspersoon, zoals een B.V. of een N.V. Een schuldenaar kan failliet verklaard worden wanneer er ten minste twee schuldeisers zijn.

Daarnaast moet ten minste één schuld onbetaald zijn, terwijl deze wel betaald had moeten worden. In dat geval is er sprake van een opeisbare schuld. Een faillissement kan zowel op eigen aangifte als op verzoek van één of meer van de schuldeisers aangevraagd worden. Wanneer er redenen van openbaar belang zijn, kan het Openbaar Ministerie ook een faillissement aanvragen.

Na een faillietverklaring verliest de failliet de beschikking en het beheer over zijn tot het faillissement behorend vermogen. De failliet kan dan geen invloed meer uitoefenen op dit vermogen. Er wordt bovendien een curator aangewezen; dit is een gerechtelijk bewindvoerder die belast wordt met het beheer en de vereffening van de failliete boedel. De curator beslist dus vanaf dat moment over wat er met het vermogen van de failliet gaat gebeuren. Het is mogelijk dat de curator een akkoord sluit met de schuldeisers. Hierbij kan met de schuldeisers afgesproken worden dat in ieder geval een deel van hun schuld afbetaald wordt. Wanneer een dergelijk akkoord niet bereikt kan worden, gaat de curator over tot afwikkeling van het faillissement. De boedel zal worden verkocht en de opbrengst wordt onder de schuldeisers verdeeld.

Op grond van de Faillissementswet kan een schuldenaar die voorziet dat hij niet door zal kunnen gaan met het betalen van opeisbare schulden surseance van betaling aanvragen. Surseance van betaling houdt in dat een schuldenaar uitstel van betaling krijgt. Surseance van betaling kan alleen verleend worden aan rechtspersonen en aan natuurlijke personen die een zelfstandig beroep of bedrijf uitoefenen.

Bovendien kan surseance van betaling slechts door de schuldenaar of de onderneming zelf aangevraagd worden. Het doel van surseance van betaling is om een faillissement af te wenden en is erop gericht om de onderneming voort te laten bestaan. Door surseance van betaling krijgt de schuldenaar de tijd en gelegenheid om zijn zaken op orde te krijgen. In de praktijk worden er vaak betalingsregelingen met schuldenaren afgesloten.

Surseance van betaling kan dus uitkomst bieden bij een dreigend faillissement. Het lukt schuldenaren echter lang niet altijd om hun zaken op orde te krijgen. Een surseance van betaling wordt dan ook vaak als voorbode van een faillissement beschouwd.
